1. Acceptance of Terms

Welcome to Instigence. By accessing or using our website (instigence.com) and services, you agree to be bound by these Terms of Use ("Terms"). If you do not agree to these Terms, do not use our website or services.

These Terms constitute a legally binding agreement between you and Konfirmity Pte Ltd ("we," "us," or "our"), the operating entity for Instigence — a personal social responsibility initiative of its Founder. We reserve the right to modify these Terms at any time. Your continued use after changes constitutes acceptance of the modified Terms.

2. Description of Services

Instigence provides educational programs, training services, and related content, including:

• Bodh: Personalized learning programs for children (K-12)
• Karta: AI development training for individual executives
• Samuh: Corporate team training on AI development practices
• Sahayak: Internal tooling setup services for SME businesses
• Raksha: Responsible AI training programs
• Niti: AI policy and governance training

We reserve the right to modify, suspend, or discontinue any service at any time without prior notice.

3. Eligibility and Registration

You must be at least 18 years old to register for our programs or enter into agreements with us. By using our services, you represent that you meet this age requirement and have the legal capacity to enter into binding contracts.

For programs involving minors (Bodh), a parent or legal guardian must complete registration and agree to these Terms on behalf of the child.

You agree to provide accurate, current, and complete information during registration and to update such information to maintain its accuracy.

4. Payment Terms

4.1 Fees and Payment

• All fees are stated in Singapore Dollars (SGD) unless otherwise specified
• Payment is due upon registration or as specified in program documentation
• We accept payment via credit card, bank transfer, or other specified methods
• All fees are non-refundable except as explicitly stated in our Refund Policy (Section 4.3)
• You are responsible for all applicable taxes, duties, and fees

4.2 Pricing Changes

We reserve the right to change our pricing at any time. Price changes will not affect existing registrations or signed agreements but will apply to future enrollments.

4.3 Refund Policy

• Bodh (By Invitation): No fees charged. This program is provided as a personal social responsibility initiative. Parents provide their own Claude API keys and are responsible for API usage costs directly with Anthropic. Custom course design, book uploads, and all educational content are provided at no charge.
• Karta (Weekend Intensive): Full refund if cancelled 14+ days before program start; 50% refund if cancelled 7-13 days before; no refund within 7 days of program start
• Samuh (Corporate Training): Refund terms specified in corporate agreement; typically full refund if cancelled 30+ days before program start
• Sahayak (Tooling Services): Refund policy based on project milestone completion; full refund if project not started; partial refunds based on work completed
• Raksha & Niti (Coming Q2 2026): Refund terms to be specified when programs launch

Refund requests must be submitted in writing to amit@instigence.com. Refunds will be processed within 14 business days of approval.

4.4 Failed Payments

If payment fails or is reversed (chargebacks), we reserve the right to suspend or terminate access to services until payment is resolved. You will be liable for all costs of collection, including legal fees.

5. Intellectual Property Rights

5.1 Our Content

All content on our website and in our programs, including text, graphics, logos, images, videos, software, and materials ("Content"), is the property of Instigence or our licensors and is protected by copyright, trademark, and other intellectual property laws.

You may not copy, reproduce, distribute, modify, create derivative works, publicly display, or exploit any Content without our prior written permission, except for personal, non-commercial use as part of enrolled programs.

5.2 Your Content

By submitting content to us (feedback, project ideas, forum posts, etc.), you grant us a non-exclusive, worldwide, royalty-free license to use, reproduce, modify, and display such content for business purposes, including improving our services.

You retain ownership of your intellectual property. For custom development work (Sahayak), intellectual property ownership will be specified in the project agreement.

5.3 Trademarks

"Instigence," our logo, and program names (Bodh, Karta, Samuh, Sahayak, Raksha, Niti) are trademarks of Instigence. You may not use these marks without our prior written permission.

6. User Conduct and Prohibited Activities

You agree not to:

• Violate any applicable laws, regulations, or third-party rights
• Use our services for any unlawful, harmful, or fraudulent purpose
• Harass, abuse, threaten, or discriminate against other users or staff
• Impersonate any person or entity or misrepresent your affiliation
• Interfere with or disrupt our services, servers, or networks
• Attempt to gain unauthorized access to any part of our services
• Reverse engineer, decompile, or extract code from our software or materials
• Scrape, data mine, or use automated tools to collect information from our website
• Share or resell course materials, recordings, or proprietary content
• Use our services to compete with us or develop competing products
• Submit false, misleading, or spam content

Violation of these terms may result in immediate termination of your access to our services without refund.

7. Educational Services Disclaimer

7.1 No Guarantees

While we strive to provide high-quality educational services, we make no guarantees regarding:

• Specific learning outcomes or skill acquisition
• Career advancement or employment opportunities
• Business results from implementing learned concepts
• Revenue, time savings, or ROI from Sahayak tooling services
• Certification or accreditation (unless explicitly stated)

Your success depends on many factors including your effort, aptitude, and external circumstances beyond our control.

7.2 Sahayak Services Disclaimer

For internal tooling services:

• Time savings estimates (20-40 hours/month) are approximations based on typical use cases
• Actual results will vary based on your specific workflows, team adoption, and use patterns
• We build tools to specifications agreed upon; we are not responsible for changes in business needs
• Tools are delivered "as-is" after acceptance; ongoing support requires a support agreement
• Integration with third-party services depends on those services' APIs and availability

7.3 Third-Party Tools

Our programs may involve third-party tools (Claude, Vercel, Supabase, etc.). We are not responsible for the availability, functionality, or changes to these third-party services. You are responsible for complying with third-party terms of service and managing your own accounts.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

• OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM OR RELATED TO OUR SERVICES SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE 12 MONTHS PRECEDING THE CLAIM
• WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST DATA, BUSINESS INTERRUPTION, OR LOSS OF GOODWILL
• WE ARE NOT LIABLE FOR DELAYS OR FAILURES DUE TO CIRCUMSTANCES BEYOND OUR REASONABLE CONTROL (FORCE MAJEURE)
• WE ARE NOT LIABLE FOR THIRD-PARTY ACTIONS, SERVICES, OR CONTENT

Some jurisdictions do not allow certain liability exclusions. In such cases, our liability is limited to the maximum extent permitted by law.

9. Disclaimers and Warranties

OUR SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

• Warranties of merchantability, fitness for a particular purpose, or non-infringement
• Warranties that services will be uninterrupted, error-free, or secure
• Warranties regarding accuracy, reliability, or completeness of content
• Warranties that defects will be corrected

We do not warrant that our services will meet your specific requirements or expectations.

10. Indemnification

You agree to indemnify, defend, and hold harmless Konfirmity Pte Ltd (operating as Instigence), its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable legal fees) arising from:

• Your use or misuse of our services
• Your violation of these Terms
• Your violation of any third-party rights, including intellectual property rights
• Your violation of applicable laws or regulations
• Any content you submit or actions you take

11. Privacy and Data Protection

Our collection and use of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using our services, you consent to our Privacy Policy.

For programs involving children (Bodh), we comply with applicable children's privacy laws and require parental consent for data collection and processing.

12. Termination

12.1 By You

You may terminate your enrollment or service agreement by providing written notice to amit@instigence.com, subject to our refund policy (Section 4.3).

12.2 By Us

We reserve the right to suspend or terminate your access to our services immediately, without prior notice, for:

• Violation of these Terms
• Fraudulent, abusive, or illegal activity
• Non-payment of fees
• Conduct that harms or may harm Instigence, other users, or third parties
• Any other reason at our sole discretion

12.3 Effect of Termination

Upon termination:

• Your right to access our services immediately ceases
• You must cease using all proprietary materials and content
• We may delete your account and data (subject to legal retention requirements)
• Sections of these Terms that by nature should survive (payment obligations, intellectual property, limitation of liability, etc.) will continue to apply

13. Governing Law and Dispute Resolution

13.1 Governing Law

These Terms are governed by the laws of Singapore, without regard to conflict of law principles.

13.2 Dispute Resolution

Informal Resolution: Before initiating formal proceedings, you agree to contact us at amit@instigence.com to attempt to resolve disputes informally. We will work in good faith to resolve disputes within 30 days.

Arbitration: If informal resolution fails, disputes shall be resolved through binding arbitration in Singapore under the Singapore International Arbitration Centre (SIAC) rules, except for:

• Disputes involving intellectual property rights
• Claims for injunctive or equitable relief
• Small claims court matters (below jurisdictional limits)

Class Action Waiver: You agree to resolve disputes individually, not as part of a class action or collective proceeding.

13.3 Jurisdiction

For matters not subject to arbitration, you consent to the exclusive jurisdiction of courts in Singapore.

14. Miscellaneous

14.1 Entire Agreement

These Terms, together with our Privacy Policy and any program-specific agreements, constitute the entire agreement between you and Instigence regarding our services.

14.2 Severability

If any provision of these Terms is found invalid or unenforceable, the remaining provisions will continue in full force and effect.

14.3 Waiver

Our failure to enforce any right or provision of these Terms does not constitute a waiver of that right or provision.

14.4 Assignment

You may not assign or transfer these Terms without our written consent. We may assign our rights and obligations without restriction.

14.5 Force Majeure

We are not liable for delays or failures due to circumstances beyond our reasonable control, including natural disasters, pandemics, war, terrorism, labor disputes, government actions, or technical failures.

14.6 Notices

Notices to you may be sent via email to your registered email address or posted on our website. Notices to us should be sent to amit@instigence.com.

14.7 Export Compliance

Our services and content may be subject to export control laws. You agree to comply with all applicable export and import laws and regulations.

14.8 No Agency

No agency, partnership, joint venture, or employment relationship is created between you and Instigence by these Terms or use of our services.
